This document outlines the terms and conditions for services provided by FringeNet Ltd. Each client receives a customized contract based on these general terms, tailored to their specific requirements and project scope.
1. Definitions & Service Agreement
FringeNet Ltd ("FringeNet", "we", "us", "our") is a Private Limited Company (Company Number: 745459) registered in Ireland. This agreement constitutes a legally binding contract between FringeNet and the Client ("you", "your") for the provision of custom software development services. All solutions are custom-developed from scratch without the use of pre-built templates, ensuring unique functionality that meets your specific business requirements.
2. Project Timeline & Deliverables
Project timelines, specific deliverables, and key milestones will be clearly outlined in your individual contract. Minor adjustments that do not affect the overall design or agreed project timeline are included in the initial scope. Significant scope changes or requests beyond the agreed deliverables will require a formal change order.
3. Intellectual Property & Licensing
FringeNet retains ownership rights of all developed software while granting you a perpetual license for your specific implementation. Third-party software usage will be clearly documented in the codebase's licensing file. You maintain the right to migrate to an alternative hosting provider, with our full support in the transition process.
4. Hosting & Service Level Agreement
We guarantee a minimum 97% uptime for all services, with a proven track record of achieving 99.5%. Response time for critical issues during business hours (8am-6pm) is guaranteed within 2 hours, with typical response times of 30 minutes. All data is hosted exclusively within the EU. The minimum contract duration for hosting and maintenance services is 12 months.
5. Payment Terms
Our payment structure requires 30% upfront, 30% at mid-project milestone, and 40% upon final delivery. Late payments will result in project delays or service suspension following notification. Emergency support outside business hours is subject to contract-specific terms.
6. Data Protection & GDPR Compliance
FringeNet acts as a data processor, while you (the Client) are the data controller. We maintain a 30-day data retention policy for backups. In the event of a data breach, we will notify you immediately and support the investigation and documentation process. As the controller, you are responsible for notifying affected parties. All data is stored exclusively within EU jurisdiction.
7. Maintenance & Support
Our comprehensive maintenance packages include daily automated backups, routine security updates, and 24/7 monitoring. Support services include bug fixes, security patches, and system updates. All maintenance activities are scheduled to minimize service disruption, with critical updates communicated in advance.
8. Termination & Liability
Either party may terminate this agreement with written notice as specified in your individual contract. Upon termination, we will assist in the orderly transfer of services to your chosen provider. Our liability is limited to the total amount paid for the services. Force majeure conditions are covered under Irish law.
